Acceptance of Terms

By accessing and using Trusted Bench ("the Platform"), you accept and agree to be bound by the terms and conditions of this agreement. If you do not agree to these terms, please do not use the Platform.

Description of Service

Trusted Bench provides a network management platform for construction professionals to track referrals, manage subcontractor relationships, and facilitate job routing within trusted networks.

Platform Nature

Trusted Bench is a marketing and software platform. Trusted Bench is NOT a General Contractor, construction company, or licensed tradesperson.

• We do not perform construction work, offer construction services, or employ construction professionals.
• We do not supervise, direct, or control the work of any user or third party.
• Any contracts, agreements, or arrangements for construction services are solely between the users of the Platform (e.g., between a Homeowner and a Contractor, or a General Contractor and a Subcontractor).
• Trusted Bench disclaims all liability for the acts, omissions, or workmanship of any user or third party.

User Accounts

Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the confidentiality of your account credentials
• You must be at least 18 years of age to use this Platform
• You may not use another person's account without permission

Account Responsibilities

• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• We reserve the right to suspend or terminate accounts that violate these terms

User Conduct

You agree not to:

• Use the Platform for any unlawful purpose
• Impersonate any person or entity
• Interfere with or disrupt the Platform or servers
• Attempt to gain unauthorized access to any portion of the Platform
• Upload or transmit viruses or malicious code
• Collect or harvest any personally identifiable information from other users
• Use the Platform to spam, phish, or engage in other deceptive practices
• Post false, misleading, or fraudulent content

Referrals and Bird Dog Fees

Referral Terms

• Users may share and receive job referrals through the Platform
• Bird dog fees and referral commissions are agreements between users
• Trusted Bench facilitates tracking but is not a party to fee agreements
• Users are responsible for negotiating and honoring their own fee agreements

Payment Processing

• Payment processing is subject to additional terms and third-party processor agreements
• Trusted Bench may charge platform fees for payment processing services
• All fees will be clearly disclosed before processing

Intellectual Property

Platform Content

• The Platform and its original content, features, and functionality are owned by Trusted Bench
• Our trademarks and trade dress may not be used without prior written consent

User Content

• You retain ownership of content you post on the Platform
• By posting content, you grant Trusted Bench a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content in connection with the Platform
• You represent that you have all necessary rights to grant this license

Professional Relationships

• Trusted Bench facilitates connections between construction professionals
• We do not guarantee the quality, safety, or legality of services provided by users
• Users are responsible for their own due diligence when hiring or working with others
• Trusted Bench is not liable for disputes between users

Limitation of Liability

To the maximum extent permitted by law:

• Trusted Bench is provided "as is" without warranties of any kind
• We do not warrant that the Platform will be uninterrupted or error-free
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid to use the Platform in the past 12 months

Indemnification

You agree to indemnify and hold harmless Trusted Bench and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of another party
• Your content posted on the Platform

Termination

We reserve the right to:

• Suspend or terminate your account at any time for violations of these Terms
• Modify or discontinue the Platform with or without notice
• Remove or refuse any content that violates these Terms

Upon termination, your right to use the Platform will immediately cease.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by:

• Posting the new Terms on this page
• Updating the "Last Updated" date
• Sending an email notification for significant changes

Continued use of the Platform after changes constitutes acceptance of the modified Terms.

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Arbitration

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration, except that either party may seek injunctive relief in court.

Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Trusted Bench regarding the use of the Platform.
